Edu Expression License Agreement
This License Agreement (“Agreement”) is made between Etymo Engine Inc (“Licensor”) and you (“Licensee”) for the use of the Edu Expression web script (“Software”).
- License Grant
Licensor grants to Licensee a non-exclusive, non-transferable license to use the Software for the purpose of creating and administering online examinations.
- Restrictions
Licensee shall not:
a) copy, modify, distribute, or create derivative works of the Software;
b) reverse engineer, decompile, or disassemble the Software;
c) rent, lease, or lend the Software;
d) use the Software to create a competing product;
e) remove any copyright or other proprietary notices from the Software.
- Ownership
Licensor retains all ownership and intellectual property rights in the Software, including any updates or modifications to the Software.
- Disclaimer of Warranties
The Software is provided “as is” and Licensor makes no representations or warranties, express or implied, regarding the Software, including without limitation any warranties of merchantability or fitness for a particular purpose.
- Limitation of Liability
Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Software, even if the Licensor has been advised of the possibility of such damages.
- Term and Termination
This Agreement shall commence on the date of acceptance by Licensee and shall continue until terminated by either party. Licensor may terminate this Agreement immediately upon notice to Licensee if Licensee breaches any provision of this Agreement.
- Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is located, without regard to its conflicts of laws provisions.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.
By clicking “I accept” or by installing or using the Software, Licensee agrees to be bound by the terms of this Agreement. If Licensee does not agree to the terms of this Agreement, Licensee should not install or use the Software.
